PROCEDURE FOR REQUESTING AVAILABLE AND POTENTIALLY AVAILABLE TRANSPORTATION CAPACITY Northwest has the right to post for open competitive bid Available Capacity with or without prearranged offers. Prior to accepting or soliciting bids, Northwest will ensure that such capacity is posted on its Designated Site in either the TSP Capacity Offering report, Index of Customers report or Unsubscribed Capacity Report. Except when otherwise indicated, contracts with a primary term greater than one year and at maximum tariff rate, listed on the Index of Customers report have a contractual Right of First Refusal. To request Available Capacity that is available "NOW" or for the Date Stated, Shipper must submit a prearranged offer request on line via Northwest Passage by selecting the Contracts Icon then by selecting TSP Capacity Offering then Package list and the desired package. To request Potentially Available Capacity that is currently under contract as indicated by the specific package footnotes above, Shipper must submit a prearranged offer request online via Northwest Passage by selecting the Contracts Icon, TSP Capacity Offering then Package List and the desired package. If the prearranged offer is acceptable and the capacity is under contract, Northwest will provide the appropriate termination notice to the current holder of the Capacity prior to posting the prearranged offer for competitive bid. Contracts with either no evergreen rights or bi-lateral evergreen termination rights are considered to be potentially available. Northwest will accept, reject or return a prearranged offer from a credit qualified bidder within two (2) business days of receipt of the prearranged offer. If the prearranged offer is accepted, Northwest will post the prearranged offer for bid, and award the capacity no later than two Business Days after the Bid Close Date. The open season will be administered and bids will be evaluated and awarded pursuant to the procedures set forth in Northwest's tariff. Unless otherwise noted in the footnotes associated with a specific package the following will apply. Prearranged offer requests at a discount, generally will not be entertained for any term in excess of eleven months. In the event that two or more max rate prearranged offers for the same package of capacity are received within the same Business Day, the offers will be deemed to have been received at the same time. For offers received at the "same time", Northwest will first determine which offers, if any are acceptable. If more than one offer is acceptable Northwest will accept the offer with the highest incremental value as the prearranged shipper. In the event of a tie on incremental economic value, Northwest will use the procedures outlined in Section 25.4(d) of Northwest Pipeline's tariff to select the prearranged Shipper.
