Subject:  Kelso-Beaver Reliability Project Binding Open Season

Northwest Pipeline LLC (“Northwest”) has entered into agreements to purchase and modify the Kelso-Beaver Pipeline and operate it as a “Designated Lateral”, with service available under Rate Schedule TFL-1 and TIL-1 of Northwest’s FERC Gas Tariff (“Tariff”). The Kelso-Beaver Pipeline is an 18-mile interstate pipeline that currently transports 200,913 Dth/d of natural gas from Northwest’s Kelso-Beaver receipt point near Kelso, Washington to the pipeline’s terminus at Portland General Electric Company’s Port Westward Industrial Facility near Clatskanie, Oregon. Northwest’s purchase and modification of the Kelso-Beaver Pipeline are subject to the prior satisfaction of several closing conditions and receipt of various governmental authorizations and permits (“Closing Contingencies”). If Northwest determines that the Closing Contingencies have been satisfied by March 31, 2026, then Northwest anticipates closing on the purchase of the Kelso-Beaver Pipeline by June 15, 2026, and completing the modification of the Kelso-Beaver Pipeline by a target in-service date of July 1, 2029 (“Target Date”). If Northwest determines that the Closing Contingencies have not been satisfied by March 31, 2026, then Northwest may elect not to purchase and modify the Kelso-Beaver Pipeline.

 

If Northwest purchases and modifies the Kelso-Beaver Pipeline, such modification shall be referred to as the “Kelso-Beaver Reliability Project” and shall consist of the addition of a 5,500-horsepower electric compressor and modification of the existing Kelso-Beaver meter station to make it bi-directional (“Project”). The purpose of the Project shall be to provide additional primary firm transportation service bi-directionally between Northwest’s Kelso-Beaver interconnect and Northwest Natural Gas Company’s North Mist interconnect. If constructed, the Project shall provide the following additional service up to 131,000 Dth/d of new “Westbound Service” and up to 52,400 Dth/d of new “Eastbound Service” by the Target Date. 

 

Northwest hereby announces that it is holding a binding open season (“Open Season”) for the new Westbound and Eastbound Services and is soliciting binding commitments from prospective shippers for year-round primary firm transportation service to be made available by the Target Date. While such commitments shall be binding on prospective shippers, Northwest’ commitment to provide the new Westbound and Eastbound Services shall remain subject to the Closing Contingencies. If Northwest in its sole discretion should determine that the Closing Contingencies have not been satisfied by March 31, 2026, then Northwest may terminate the binding commitments resulting from the Open Season without liability to prospective shippers.

 

Northwest is not soliciting offers for the permanent relinquishment of firm transportation service on the existing Kelso-Beaver Pipeline in connection with the Project. Firm transportation service on the existing Kelso-Beaver Pipeline is currently fully subscribed and as part of Northwest’s agreement to purchase and modify the existing Kelso-Beaver Pipeline, the pipeline’s existing shippers have agreed to continue their service commitments on the pipeline for several years after the closing.  Therefore, it would be contrary to such agreements for any existing shipper on the Kelso-Beaver Pipeline to request permanent relinquishment of its existing firm transportation service on the pipeline.

 

The Open Season shall commence at 2:00 p.m. CST on November 20, 2024, and end at 5:00 p.m. CST on December 4, 2024 (the “Open Season Period”).
