Northwest has posted the following package of available firm TF-1 Large

Customer transportation capacity to its Electronic Bulletin Board (“EBB”)

for competitive bid pursuant to the “Available Capacity” provisions of

Northwest’s Tariff.

Prearranged Bid Non-Conforming Provisions:

Shipper will not protest the rates provided under this Agreement in Transporter's rate case(s) filed under either Section 4 or 5 of the Natural Gas Act. If another party challenges the rates provided under this Agreement in Transporter's rate case(s) filed under either Section 4 or 5 of the Natural Gas Act, then upon written request from Transporter Shipper will file in support of the rates provided under this Agreement. For rate cases that involve pre-filed settlement negotiations, Shipper will support the rates provided under this Agreement during the pre-filed settlement process.

 

Extension and Segmentation Opportunity

Within ten days of being awarded the capacity, the winning bidder(s)

will be given the opportunity to extend the term of the awarded

contract at its existing rates, subject to the applicable discount and

non-conforming conditions, for a term ending October 31,

2025. Upon extending the contract, the shipper will have the

opportunity to execute the following segmentations, pursuant to Section

25.5(c) of the General Terms and Conditions of Northwest’s Tariff, for

up to the full Contract Demand awarded: Stanfield Receipt to Kern River

Muddy Creek Delivery; Opal Receipt to Clay Basin Delivery; and Clay

Basin Receipt up to 25,000 Dth/D at Ignacio Delivery, and up to 20,000

Dth/D at La Plata TW Delivery.

 

 

PROCEDURE FOR BIDDING AND AWARDING THE POSTED CAPACITY

 

 

Northwest will only accept email bids for this capacity and will use

the email receipt time stamp to determine timely arrival.

 

Awarding Capacity

 

Duplicate bids will be discarded. Maximum rate bids will be accepted for any primary contract term, subject to available capacity. The posted capacity will be awarded to the shipper’s bid with the greatest economic value.

 

Any discounted bids will be subject to the Discount

Conditions and Non-conforming provisions of the Prearranged Bid.

 

The economic value of each bid will be determined on a present value basis. In case of a tie, each tied shipper will have the right to improve its bid by submitting an improved bid within 24 hours of the bid close time.

 

If a tie still exists, such capacity shall be awarded on a pro-rata basis to the shippers indicating a willingness to accept a pro-rata share. All bidding and awarding will be conducted in accordance with General Terms and Conditions Section 25 of Northwest’s Tariff

 

Each of the foregoing provisions is subject to the pre-arranged shipper’s one-time right to match the highest bid(s).

 

Northwest’s acceptance of Shipper’s bid for this firm capacity

will constitute a binding offer from Shipper to Northwest for the

capacity and the terms and conditions posted herein. If any of the

capacity is awarded to Shipper, Shipper agrees to submit a request in

Northwest Passage within two (2) business days of notification by

Northwest.
